Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Northwest Front Desk LLC ("Company," "we," "us," or "our"), governing your access to and use of CoolDown, including our website, applications, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

CoolDown provides tools to help users reflect on and analyze personal conversations, including an on-device AI analysis feature that runs a language model directly in your browser. CoolDown is a supportive, self-help tool only. It is not therapy, counseling, legal advice, or a substitute for professional mental health care. If you are in crisis or need professional support, please contact a licensed professional or an appropriate crisis service in your area.

2. Eligibility & Account Registration

• You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
• You must provide accurate, current information when registering and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us promptly at the contact address below if you suspect unauthorized use of your account.
• We may suspend or terminate accounts that provide false information or violate these Terms.

3. Subscriptions, Purchases & Payment

CoolDown offers the following paid plans (together, the "Paid Plans"):

• CoolDown Unlimited — a recurring monthly subscription (currently $9.99/month) granting unlimited access to premium features for the duration of an active billing period.
• CoolDown 5-Pack — a one-time, non-recurring purchase (currently $4.99) granting five (5) individual uses ("credits") of premium features. Credits do not expire but are not refundable once consumed, except as required by law.

All payments are processed by Lemon Squeezy (Lemon Squeezy, Inc. and its Affiliates), which acts as the merchant of record for all purchases made through the Service. This means your purchase is made from and billed by Lemon Squeezy, not directly from Northwest Front Desk LLC, and Lemon Squeezy is responsible for processing payments, applicable sales tax/VAT, and payment-related customer service inquiries. Your payment information (card details, billing address, etc.) is collected and stored by Lemon Squeezy in accordance with its own terms and privacy policy; we do not receive or store your full payment card details.

• Billing & renewal. CoolDown Unlimited automatically renews each billing period at the then-current price unless cancelled before the renewal date. You authorize Lemon Squeezy to charge your chosen payment method on a recurring basis until you cancel.
• Cancellation. You may cancel CoolDown Unlimited at any time through your account or Lemon Squeezy's customer portal. Cancellation takes effect at the end of the current paid billing period; you will retain access until then, and we do not provide prorated refunds for the unused portion of a billing period except as required by law.
• Price changes. We may change the price of any Paid Plan on a going-forward basis. We will provide reasonable notice of price changes affecting an active subscription before they take effect.
• Refunds. All sales are generally final. Refund requests are handled on a discretionary, case-by-case basis and, where granted, are processed by Lemon Squeezy. Nothing in these Terms limits any statutory refund or withdrawal rights you may have under applicable consumer protection law.
• Failed payments. If a renewal payment fails, we may suspend access to premium features until payment is successfully processed.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Service, other accounts, or related systems;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated means (bots, scrapers) to access the Service without our prior written consent;
• Circumvent or manipulate credit, subscription, or payment mechanics to obtain premium access without authorized payment.

5. User Content & AI Analysis

Conversation text you submit for analysis ("User Content") belongs to you. Where CoolDown's AI analysis runs on-device in your browser, that content is processed locally on your device and is not transmitted to our servers for that purpose (see our Privacy Policy for full details on what data we do collect). You are solely responsible for the User Content you submit and for ensuring you have the right to share it, including where it involves communications from other people.

AI-generated output is provided for informational and reflective purposes only. It may be inaccurate, incomplete, or unsuitable for your situation, and should not be relied upon as professional, medical, legal, or relationship advice.

6. Intellectual Property

The Service, including its software, design, text, graphics, and branding (excluding your User Content), is owned by Northwest Front Desk LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms.

7. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Service and delete your account at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED OUTPUT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NORTHWEST FRONT DESK LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify and hold harmless Northwest Front Desk LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in McMinnville, Oregon, unless otherwise required by applicable consumer protection law.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting a notice in the Service or updating the "Last updated" date above). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
